1. Introduction Welcome to Umirai.ai ("Company," "we," "our," or "us"). By accessing or using our website (https://umirai.ai/) and related applications, you agree to comply with and be bound by these Terms and Conditions ("T&C"). If you do not agree to these T&C, you must not use our services.

3. Scope of Services Our services include a suite of AI-driven applications for real estate, business coaching, marketing, content creation, and enterprise solutions ("Products"). Detailed descriptions of these services are available on our website.
4. User Responsibilities 4.1. You must use our services only for lawful purposes and in accordance with these T&C.
4.2. You are prohibited from:

• Misusing or exploiting our platform, including any attempt to reverse-engineer or replicate our applications.
  
• Generating or sharing harmful, unethical, or misleading content through our tools.
  
• Sharing your account credentials with unauthorized individuals.
  

5. Intellectual Property Rights 5.1. All content, applications, and proprietary materials on Umirai.ai are owned by or licensed to us.
5.2. You may not reproduce, modify, distribute, or sell our materials without prior written consent.
6. Privacy and Data Security 6.1. We are committed to protecting your data in compliance with applicable data protection laws, including India’s IT Act, 2000, and other relevant regulations.
6.2. Data Protection Standards: Our servers are located in the US.

6.4. Data Retention Policy: After the yearly subscription ends, user data will be retained for 90 days.
7. Payment and Refund Policy 7.1. General Payment Terms Payment for services must be made in full before accessing the platform, unless otherwise agreed.
7.2. Standard Refund Policy

• Monthly Plan: Users are entitled to a 3-day refund period from the date of payment.
  
• Quarterly Plan: Users are entitled to a 7-day refund period from the date of payment.
  
• Annual Plan: Users are entitled to a 14-day refund period from the date of payment.
  

Deductions: A flat 10% handling charge and 18% GST will be deducted for refunds.
Timeline: Refunds will be processed within 7–15 working days.

Non-Refundable Conditions: Refunds will not be granted if:

• The platform or any of its applications are misused for illegal or harmful activities.
  
• Users engage in socially damaging actions through the platform.
  
• Deliverables mentioned at the time of sale are fulfilled but the user does not utilize the platform.
  
• Purchases are made under discounts, offers, or deals (non-refundable).
  

7.3. Enterprise Solution (No Refund Policy)

• Enterprise subscription plans are strictly non-refundable.
  
• Charges include:
  
  • $49/month (Admin Panel Fee)
    
  • $29/month per seat (user license)
    
• Minimum Commitment: Enterprise clients must maintain at least 3 months of continuous admin panel subscription. If an enterprise account fails to continue for the minimum term, all associated user seats will be automatically discontinued without refund.
  
• Additional seats can be purchased, but discontinuation before the 3-month commitment will result in seat termination.
  

8. Limitation of Liability 8.1. We are not liable for:

• Service interruptions or technical issues beyond our control.
  
• Indirect, incidental, or consequential damages resulting from the use of our services.
  

8.2. Users acknowledge that AI-generated outputs are provided "as is" and may require further validation.
9. Termination of Services 9.1. We reserve the right to suspend or terminate accounts for:

• Breach of these T&C.
  
• Misuse of our platform or products.
  

9.2. Upon termination, users must cease all access and use of our services.
10. Third-party Services Our services may integrate with third-party platforms (e.g., Razorpay for payment processing). We are not responsible for any issues or disputes arising from third-party services.
11. Dispute Resolution 11.1. Governing Law: These T&C are governed by the laws of India.
11.2. Arbitration: Disputes will be resolved through arbitration in Surat, Gujarat, under the Arbitration and Conciliation Act, 1996.
11.3. Jurisdiction: The courts in Surat, Gujarat, will have exclusive jurisdiction over any unresolved disputes.
12. Updates to T&C We reserve the right to modify these T&C at any time. Significant changes will be communicated through our website or via email. Continued use of our services after updates constitutes acceptance of the revised T&C.
13. Deliverables and Service Scope 13.1. Weekly live training sessions will be provided by the Umirai.ai team.
13.2. Users will receive one-time credits as follows:

• 500 Video Master AI credits in yearly access.
  
• 500 credits in quarterly access.
  
• 250 credits in monthly access.
  Additional credits may be purchased as top-ups.
  

13.3. The Model Magic AI application requires a one-time $6 fee per model for training.
14. Prohibited Use Cases Users are strictly prohibited from using our platform for:

• Generating fake or deceptive content.
  
• Promoting illegal or unethical activities.
  

15. Indemnification Clause Users agree to indemnify and hold Umirai.ai harmless from any claims, damages, or expenses resulting from their misuse of the platform or violation of these T&C.
16. Legal Disclaimer 16.1. AI-generated outputs are provided "as is." While we strive for accuracy, we do not guarantee that the outputs will be error-free or fit for any specific purpose.
16.2. The tools may have limitations and should not be used as the sole basis for critical decisions.
